These Terms apply to business-to-business orders placed with Redesignsport Ltd for 3D scanning, reverse engineering, CAD modelling, engineering design, redesign, technical drawings, manufacturing engineering and manufacture.

1. Orders and Quotations

All work is undertaken in accordance with the quotation, agreed scope of work and these Terms.

Quotations are based on the information available at the time they are prepared. Reverse engineering, restoration and development work may reveal additional requirements after work has commenced, and additional work may be charged separately.

Any significant additional work will, where reasonably practicable, be discussed with the Customer before it is undertaken.

Any terms contained within a Customer purchase order or other Customer document shall not replace or override these Terms unless expressly agreed in writing by Redesignsport Ltd.

2. Payment

Unless expressly agreed otherwise in writing, Redesignsport Ltd does not offer credit terms.

A deposit is required before work commences. Stage payments may be required where stated in the quotation.

The final balance is payable upon completion and before Goods, CAD files, drawings, reports, technical data or other deliverables are released, collected or dispatched.

Redesignsport Ltd may suspend work or withhold Goods and deliverables where payment is outstanding.

All prices are exclusive of VAT unless expressly stated otherwise.

Where applicable, Redesignsport Ltd reserves its statutory rights in relation to overdue commercial payments, including interest and recovery costs.

3. Customer Information and Instructions

The Customer is responsible for ensuring that all information, requirements, specifications, drawings, samples and instructions supplied to Redesignsport Ltd are accurate and complete.

Redesignsport Ltd may rely upon Customer-supplied information unless independent verification is expressly included within the agreed scope.

The Customer must notify Redesignsport Ltd of any safety-critical use, unusual operating conditions, specialist certification requirements, exceptional loads, temperatures, duty cycles or other matters relevant to the design or use of the Goods.

4. 3D Scanning, Measurement and Reverse Engineering

Existing components may show wear, distortion, damage, corrosion, previous repair, material deterioration or historic manufacturing variation.

A measured or scanned component will not automatically be treated as representing its original nominal dimensions.

Where appropriate, Redesignsport Ltd may use engineering judgement to reconstruct nominal dimensions; correct dimensional inconsistencies; correct or improve alignment; establish suitable fits and tolerances; compensate for wear, distortion or damage; establish relationships between mating components; introduce dimensional corrections; specify modern or alternative materials; modify geometry for modern manufacturing methods; improve manufacturability; improve assembly or alignment; and make other engineering modifications within the agreed scope.

The resulting work may therefore constitute a redesigned or modified engineering solution rather than an exact reproduction of the original component.

5. Original, Historic and Third-Party Designs

Redesignsport Ltd does not claim ownership of third-party intellectual property merely because an existing or historic component has been scanned, measured, analysed, modelled, reproduced, repaired or redesigned.

Where work is based on an existing or historic component, Redesignsport Ltd claims only such rights as arise from its own original engineering contribution. This may include redesigns, dimensional corrections, modifications, improvements, CAD models, engineering drawings, specifications, manufacturing documentation, manufacturing methods and other technical developments.

Unless expressly included within the agreed scope, Redesignsport Ltd does not undertake patent, design-right or other intellectual-property clearance searches concerning third-party products.

6. Intellectual Property Ownership

Unless expressly assigned in writing, intellectual property created or developed by Redesignsport Ltd remains the property of Redesignsport Ltd.

This includes, where applicable, CAD models and CAD data; engineering and manufacturing drawings; processed 3D scan data; dimensional data; tolerance schemes; fits and alignment information; material specifications; engineering calculations; redesigns and modifications; improvements; technical documentation; inspection documentation; tooling designs; jig and fixture designs; and other original engineering or technical work.

Payment for Goods or Services does not itself constitute an assignment or transfer of Redesignsport Ltd intellectual property.

Ownership of a finished physical component does not transfer ownership of the underlying CAD models, drawings, design data, manufacturing information or know-how.

7. Design Rights

To the extent that registered or unregistered design rights or other design-related intellectual property rights arise from original designs, redesigns, modifications, adaptations or improvements created by Redesignsport Ltd, those rights remain the property of Redesignsport Ltd unless expressly assigned in writing.

Redesignsport Ltd does not claim ownership of an original third-party design merely because that design was used as a starting point for subsequent engineering work.

Redesignsport Ltd claims only such rights as arise from its own original design contribution, modification, improvement or development.

8. Background Intellectual Property

All intellectual property, technical information, designs, CAD data, drawings, methods, techniques and know-how owned or developed by Redesignsport Ltd before a Customer places an Order, or independently of that Order, remain the property of Redesignsport Ltd.

A Customer does not obtain ownership of such background intellectual property merely by placing or paying for an Order.

9. Manufacturing Processes, Jigs, Fixtures and Know-How

Manufacturing methods and know-how independently created or developed by Redesignsport Ltd remain proprietary to Redesignsport Ltd.

This includes manufacturing methods; machining strategies; sequences of operation; datum strategies; workholding methods; setup procedures; tooling concepts; jig designs; fixture designs; production techniques; inspection techniques; measurement strategies; process sheets; manufacturing data; production setup information; and other confidential manufacturing knowledge.

Purchase of a finished component does not entitle the Customer to receive, inspect or obtain access to Redesignsport Ltd's proprietary manufacturing know-how.

Redesignsport Ltd is not required to disclose process sheets, jig drawings, fixture drawings, tooling information, setup details, manufacturing sequences or other proprietary manufacturing information unless expressly agreed in writing.

10. Trade Secrets and Confidential Know-How

Manufacturing information and other Company information which is not generally known, derives commercial value from remaining confidential and is treated by Redesignsport Ltd as confidential shall be treated as Confidential Information.

The Customer must not use, disclose, copy or provide such Confidential Information to another person except where expressly permitted in writing.

Disclosure of information for the limited purpose of completing an Order does not place that information into the public domain and does not transfer ownership of it.

11. CAD, Drawings and Technical Data

Where Redesignsport Ltd supplies CAD files, drawings or other technical information, the Customer receives only the rights expressly stated in the quotation or written agreement.

Supply of such information does not constitute an assignment of intellectual property rights.

Unless expressly authorised in writing, the Customer must not reproduce Redesignsport Ltd Technical Information; provide it to another manufacturer or engineering company; commercially exploit it; sell it; sublicense it; publish it; or use it to reproduce Redesignsport Ltd's engineering work.

Any broader manufacturing licence, exclusive licence or assignment of intellectual property must be separately agreed in writing and may be subject to an additional fee.

12. Sale of Finished Components

Purchase of a finished component or assembly gives the Customer ownership of the physical Goods, subject to these Terms.

Purchase of finished Goods does not itself transfer copyright, design rights, CAD data, engineering drawings, manufacturing drawings, manufacturing methods, jig or fixture designs, tooling information, manufacturing processes, process information or confidential know-how.

Unless expressly agreed otherwise, the Customer purchases the finished Goods and not the underlying engineering or manufacturing package used to produce them.

13. Attribution and Claims of Authorship

The Customer must not falsely state, represent or knowingly imply that engineering work created by Redesignsport Ltd was created or developed by the Customer or another party.

This applies, where relevant, to designs, redesigns, engineering modifications, CAD models, drawings, dimensional developments, specifications, manufacturing processes, tooling concepts, jig and fixture designs and other technical developments created by Redesignsport Ltd.

Permission to use Technical Information does not confer authorship or ownership of the underlying engineering work.

14. Advertising, Websites and Publication

Unless prior written permission is obtained from Redesignsport Ltd, the Customer must not publish, reproduce, upload, distribute, display or use for advertising, promotional or commercial purposes Redesignsport Ltd-owned CAD models, CAD screenshots, rendered CAD images, engineering drawings, manufacturing drawings, processed scan data, technical specifications, process sheets, jig or fixture drawings, manufacturing information, proprietary technical information or other copyright or confidential material.

This restriction includes use on websites, social media, online marketplaces, advertising platforms, printed marketing material, brochures, exhibitions, presentations and sales materials.

The Customer must not remove, obscure or alter copyright notices, confidentiality notices, Redesignsport Ltd names, drawing numbers, document numbers, proprietary notices or watermarks without prior written permission.

15. Photography, Video and Visual Disclosure

The Customer must not photograph, film, record, publish, upload, distribute or otherwise disclose images or recordings of Redesignsport Ltd manufacturing arrangements or processes where those images reveal or may reveal Confidential Information, proprietary know-how or trade secrets.

This includes photographs or video of jigs, fixtures, tooling, workholding arrangements, machining setups, manufacturing setups, inspection setups, measurement setups, process stages, work in progress and other proprietary manufacturing methods.

This restriction applies during visits, inspections, demonstrations, collection, delivery or at any other time when proprietary manufacturing information is visible.

Such images must not be used on websites, social media, advertising, promotional material, presentations, sales literature or technical publications without prior written permission.

16. Confidentiality

Each party shall take reasonable measures to protect confidential technical and commercial information received from the other.

The Customer must not disclose Redesignsport Ltd Confidential Information to another person without permission except where disclosure is expressly permitted by these Terms or required by law.

Redesignsport Ltd will treat Customer confidential information, drawings, components, technical data, project information and other non-public material supplied in connection with an Order as confidential.

Unless expressly authorised by the Customer or required by law, Redesignsport Ltd will not sell, exchange or trade Customer confidential information; disclose it to unrelated third parties; publish it; place it or project material on public display; use it for advertising or promotional purposes; or knowingly make it publicly available.

Redesignsport Ltd may disclose Customer confidential information only to employees, professional advisers, subcontractors or specialist suppliers who reasonably require access for the purpose of carrying out the relevant work and who are expected to treat that information confidentially.

Nothing prevents Redesignsport Ltd from using its general engineering knowledge, experience, skills and independently developed know-how, provided that Customer confidential information is not improperly disclosed.

Confidentiality obligations do not apply to information which was already lawfully known without restriction, becomes public other than through breach of confidence, is independently developed without use of the Confidential Information, or must be disclosed by law.

Confidentiality obligations concerning trade secrets and proprietary know-how continue for as long as the relevant information remains confidential.

17. Design and Engineering Responsibility

Redesignsport Ltd shall perform agreed design and engineering Services with reasonable skill and care.

Redesignsport Ltd's responsibility is limited to the expressly agreed scope of the relevant Order.

Unless expressly included within that scope, Redesignsport Ltd does not assume responsibility for design of the Customer's entire machine, vehicle or system; operating conditions not disclosed; loads or duty cycles not disclosed; installation; assembly undertaken by other parties; certification; regulatory approval; modifications made after delivery; misuse; use outside the agreed application; or performance of unrelated components or systems.

18. Customer and Third-Party Manufacture

Where the Customer or another manufacturer produces a component using information supplied by Redesignsport Ltd, the Customer is responsible for the competence and workmanship of that manufacturer.

Redesignsport Ltd is not responsible for errors or deviations introduced by another manufacturer, including incorrect machining, incorrect tolerances, dimensional deviations, material substitution, incorrect interpretation of drawings, unauthorised changes or departures from Redesignsport Ltd Technical Information.

Components manufactured by another party must be appropriately inspected and verified before being placed into service.

19. Inspection, Testing and Validation

Unless inspection, testing, validation or certification is expressly included within the agreed scope, the Customer is responsible for ensuring that Goods are appropriately inspected, tested, validated and approved before being placed into service.

Where a Redesignsport Ltd component forms part of a larger vehicle, machine, assembly or system, the Customer remains responsible for final system-level validation.

20. Customer Use of Technical Information

The Customer is responsible for determining the suitability of drawings, CAD models, dimensional data, specifications and other Technical Information for any purpose outside the agreed scope.

Subject to applicable law, Redesignsport Ltd shall not be responsible for consequences resulting from use for another application; unauthorised alteration; manufacture inconsistent with Company specifications; material substitution; incorrect installation; incorrect assembly; operation outside stated parameters; or subsequent modification by another party.

21. Delivery, Collection and Risk

Completion and delivery dates are estimates unless expressly agreed in writing to be binding.

Redesignsport Ltd shall use reasonable endeavours to meet agreed timescales.

Risk in physical Goods passes to the Customer upon collection by the Customer or handover to the carrier responsible for delivery, unless expressly agreed otherwise.

22. Title to Goods

Legal title to Goods supplied by Redesignsport Ltd does not pass to the Customer until payment in full has been received in cleared funds for those Goods.

Transfer of title to physical Goods does not transfer intellectual property rights.

23. Warranties

Redesignsport Ltd warrants that Services will be performed with reasonable skill and care.

Manufactured Goods will materially conform to the expressly agreed specification, subject to normal engineering and manufacturing tolerances.

Except where expressly agreed in writing, Redesignsport Ltd does not warrant suitability for applications or operating conditions which were not disclosed to and accepted by Redesignsport Ltd.

24. Limitation of Liability

Nothing in these Terms excludes or restricts liability which cannot lawfully be excluded or restricted, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to applicable law, Redesignsport Ltd shall not be liable for loss of profit, revenue, production, business, anticipated savings, contract, goodwill or indirect or consequential loss.

Subject to applicable law, Redesignsport Ltd shall not be liable to the extent that loss or damage results from incorrect Customer information or specifications; unauthorised alterations to Company work; third-party manufacture which does not comply with Company requirements; incorrect installation or assembly; improper maintenance; misuse; operation outside agreed conditions; unapproved material substitutions; normal wear and tear; defects in a pre-existing design which could not reasonably have been identified within the agreed scope; or failures in unrelated components, assemblies or systems.

Any financial limitation of liability shall be subject to the terms agreed for the relevant Order and applicable law.

25. Insurance

Redesignsport Ltd maintains such design, manufacturing, business and liability insurance as it considers appropriate for its activities.

The existence of insurance does not increase Redesignsport Ltd's contractual liability beyond the limitations contained within these Terms.

The Customer remains responsible for maintaining insurance appropriate to its own operations and use of the Goods.

26. Customer-Supplied Third-Party Material

Where the Customer supplies or specifies drawings, CAD files, designs, specifications, sample components or other proprietary information and instructs Redesignsport Ltd to reproduce or manufacture from them, the Customer warrants that it is entitled to supply that material and give those instructions.

The Customer is responsible for claims arising directly from Customer-supplied material or instructions where Redesignsport Ltd could not reasonably have known that carrying out those instructions would infringe another person's rights.

27. Cancellation

If an Order is cancelled after work has commenced, the Customer remains responsible for work already undertaken and costs reasonably incurred, including design, scanning, engineering, materials, tooling, subcontracted work and manufacturing costs.

Where those costs exceed amounts already paid, the Customer must pay the outstanding balance.

28. Suspension

Redesignsport Ltd may suspend work where payment is outstanding, required Customer information has not been supplied, continuation would create an unreasonable safety risk or another material Customer obligation has not been met.

Redesignsport Ltd shall not be responsible for delays caused by such suspension.

29. Force Majeure

Redesignsport Ltd shall not be responsible for delay or failure caused by circumstances outside its reasonable control, including utility failure, machinery breakdown not resulting from failure to take reasonable care, fire, flood, industrial dispute, transport disruption, supply-chain interruption, shortage of materials, acts of government, war, civil disturbance, epidemic, pandemic or comparable events.

30. Subcontracting

Redesignsport Ltd may use suitably selected subcontractors for specialist manufacture, processing, inspection or other operations.

Use of a subcontractor does not transfer Redesignsport Ltd intellectual property to the subcontractor or Customer.

31. Unauthorised Use or Disclosure

Where Redesignsport Ltd reasonably believes that its intellectual property, Technical Information or Confidential Information has been used or disclosed contrary to these Terms, Redesignsport Ltd may require the Customer to cease the unauthorised use; remove unauthorised online material under the Customer's control; cease further disclosure; return or securely destroy confidential copies where appropriate; and identify recipients of confidential information where reasonably necessary to address the breach.

Redesignsport Ltd reserves all legal rights and remedies available in relation to infringement, breach of confidence, misuse of confidential information or breach of contract.

32. Intellectual Property Assignments and Licences

Any assignment of Redesignsport Ltd intellectual property must be expressly agreed in writing.

Any licence exceeding the rights ordinarily granted under these Terms must also be expressly agreed in writing.

Additional licence or assignment fees may apply.

Payment for engineering, scanning, manufacture, tooling or other Services does not by itself amount to an intellectual-property assignment.

33. Continuing Obligations

Completion, cancellation or termination of an Order does not terminate provisions concerning intellectual property, design rights, manufacturing know-how, confidentiality, trade secrets, permitted use of Technical Information, attribution, prohibited disclosure or outstanding payment obligations where those provisions are intended to continue.

34. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, it shall where legally possible be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in effect.

35. No Waiver

Failure or delay by Redesignsport Ltd in enforcing any contractual right shall not constitute a waiver of that right.

36. Entire Agreement

The relevant quotation, written scope, Order acknowledgement, these Terms and any documents expressly incorporated into them constitute the agreement between Redesignsport Ltd and the Customer concerning the relevant Order.

Nothing in this clause limits liability for fraud or fraudulent misrepresentation.

37. Variation

No variation to these Terms or an accepted Order shall be binding unless agreed in writing by an authorised representative of Redesignsport Ltd.

38. Governing Law and Jurisdiction

These Terms and every contract between Redesignsport Ltd and the Customer are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over disputes arising from or in connection with the contract unless another dispute-resolution procedure is expressly agreed.

Payment Summary

Deposit: Required before work commences.

Stage Payments: Payable where stated in the quotation.

Final Balance: Payable on completion and before release, collection or dispatch.

Credit Terms: None.

CAD and Drawings: Supplied only where included within the agreed scope and subject to these intellectual-property provisions.

Intellectual Property: Payment for Goods or Services does not transfer Redesignsport Ltd intellectual property, design rights, manufacturing processes, jigs, fixtures or know-how unless expressly agreed in writing.

Proprietary Notice

Technical information supplied by Redesignsport Ltd remains the property of Redesignsport Ltd except where expressly agreed otherwise in writing.

No reproduction, disclosure, publication, manufacture from, distribution or commercial use is permitted except as expressly authorised in writing by Redesignsport Ltd.
